Terms and Conditions for Sales and Quotes (2025-02-22)
General Terms:
These Terms and Conditions apply to all sales, quotations, and agreements between Voxel Solutions (“the Company”) and its customer(s) (“the Client”). By requesting a quote or placing an order, the Client agrees to these Terms and Conditions.
Quotes and Estimates:
All quotes provided by Voxel Solutions are valid for 30 days unless otherwise specified.
Quotes are based on the information provided by the Client, material type, complexity and quantity of order. If there are significant alterations, changes to the project scope,specifications, or material, additional costs may apply.
Prices quoted do not include shipping & handling, or other additional fees unless explicitly stated.
Ordering Process:
Orders are considered confirmed only once a signed agreement or written confirmation has been received from the Client.
The Client is responsible for providing accurate specifications, including but not limited to files, measurements, and design details. Voxel Solutions is not liable for errors or defects resulting from incorrect information provided by the Client.
Payment Terms:
Payment terms stated in Quotation have to be adhered to upon confirmation of order.
Late payments will incur a 10% monthly interest charge on the outstanding amount.
Payment can be made via [credit card, bank transfer, cheque, etc.]. The Client is responsible for all transaction fees.
Delivery and Lead Time:
Voxel Solutions will provide an estimated lead time at the time of the quote, but lead times are not guaranteed unless specifically agreed in writing.
Delays due to factors outside the control of Voxel Solutions (e.g., supply chain issues, printer malfunctions, shipping delays) will not result in penalties.
The Client is responsible for reviewing and approving any shipping arrangements. Delivery charges, unless otherwise specified, will be borne by the Client.
The client retains ownership of all designs submitted. By submitting, the client grants Voxel Solutions the right to use the design solely for the purpose of manufacturing.
Design and Intellectual Property:
All designs, prototypes, and models created by Voxel Solutions remain the property of Voxel Solutions until payment has been received in full.
Upon full payment, the Client may use the final product or design as agreed. The Client may request ownership of the design files for an additional fee if desired.
The Client is responsible for ensuring that all designs provided to Voxel Solutions do not infringe on third-party intellectual property rights. Voxel Solutions is not liable for any intellectual property violations.
Quality and Warranty:
Voxel Solutions guarantees that all 3D printed products will meet the agreed-upon specifications and quality standards, subject to the limitations of the materials used and the printing process.
Any defects or issues must be reported within 15 days of receiving the order. After this period, Voxel Solutions will not be held responsible for any defects or issues.
Voxel Solutions will only be responsible for defects directly caused by errors in printing or design*. We do not offer warranties on the functionality of the product unless otherwise specified in the agreement.
Voxel Solutions offers a 30 day warranty on prints (unless otherwise stated), based on the condition that they are used for the intended application (Proof may be required for each claim). Voxel Solutions will not be held liable for situations where the full use of the product is not explitly stated by the client.
Cancellations and Refunds:
Orders can be canceled by the Client within 24 hours of order confirmation, provided production has not started. This is subject to a cancellation fee of [10]%.
In the case where production has started, a cancellation fee of 25% will be required in addition to the cost of the material(s) used.
In the event of defective products, Voxel Solutions will, at its discretion, either replace the product or provide a refund, minus any non-refundable expenses such as or shipping.
Limitation of Liability:
Voxel Solutions will not be liable for any indirect, incidental, or consequential damages resulting from the use of our products, including lost profits, lost data, or business interruption.
Our total liability to the Client for any claims arising from the use of our products or services will be limited to the amount paid by the Client for the specific order in question.
Confidentiality:
Both parties agree to keep confidential any proprietary information shared during the course of the project, including designs, prototypes, business practices, or any sensitive data.
This confidentiality obligation will remain in effect even after the completion of the project.
If an NDA is required, the client is responsible for drafting and communicating this in a timely manner.
Voxel Solutions will not share your design files, order details, or personal information with third parties without your consent, except as required by law or for the purpose of fulfilling your order.
Force Majeure:
Voxel Solutions will not be held responsible for any delay or failure in performance resulting from circumstances beyond our control, including but not limited to natural disasters, labor disputes, or acts of war.
Governing Law:
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
Termination of service:
Voxel Solutions reserves the right to refuse or terminate service at our discretion, particularly in cases of violations of these Terms or inappropriate conduct by the user.
Marketing and promotions:
By using Voxel Solutions' services, you grant us permission to reference your company name and logo in our marketing materials, including case studies, client lists, and promotional content. If you wish to opt out, you must explicitly notify us in writing at contact@voxelsolutions.ca either prior to or during the submission of your order.
Amendments:
Voxel Solutions reserves the right to amend or update these Terms and Conditions at any time without prior notice. Any changes will be posted on our website or provided to the Client in writing.
Acknowledgment:
By placing an order or requesting a quote from Voxel Solutions, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions.
